According to the Pike’s Peak Library District, bylaws are “the rules that govern the internal management of the organization and should be written by the organization’s founders and/or directors, with legal council” (2026).
Although not filed with the Colorado Secretary of State, bylaws are required by the IRS when applying for 501(c)(3) status. Bylaws typically include:
- Amendment processes
- Board structure
- Conflicts of interest statement
- Dissolution clause
- Officer roles
- Meeting procedures
These rules provide a framework for accountability, governance, and transparency within an organization.
